About the Role
We're looking for an experienced Luxembourg-based Company Secretary to join our growing team. This is an opportunity to take genuine ownership of corporate governance in a fast-moving fintech — building and shaping a function that sits at the heart of how we operate in Luxembourg.
You'll be the foundation of Titanbay's Luxembourg corporate governance, ensuring our fund entities remain legally sound, our CSSF obligations are met on time, and our board meetings are run to the standard required to demonstrate genuine in-person Luxembourg substance.
Equally important is mindset. At Titanbay, AI and technology run through everything we do, we build on our own rails to scale and enhance internal operations and we want someone who is genuinely driven to use AI and automation to improve how Company Secretary work gets done, across our Luxembourg, Irish, and UK entities. You’ll own and improve the function, not just run it as it's always been done. You don't need to be the most technical person in the room, but the interest in using technology to build a better CoSec function from day one is non-negotiable.
What You'll Be Responsible For
- Managing all Luxembourg fund entities, S.à r.l.s and GP governance: statutory record-keeping, register maintenance, corporate actions, and entity lifecycle management
- Own and maintain the governance calendar across all funds, ensuring statutory deadlines, approval cycles and reporting obligations are met
- Organising board meetings end-to-end — scheduling, logistics, agenda and board packs
- Gathering board reports from the AIFM, the Depositary, the Administrator and RC for quarterly board meetings and following up on action points arising from board meetings with service providers
- Drafting board minutes and circular resolutions, co-ordinating the review by relevant stakeholders and execution once approved
- Draft and maintain up-to-date Articles of Association, manage restated coordinated articles following each amendment and file updated versions with the RCS
- Draft and execute notarised and apostilled powers of attorney for corporate signatories and authorised representatives
- Serve as primary point of contact with Luxembourg notaires. Brief the notary on transaction context and prepare corporate documents, KYC, etc.
- Review notarial draft deeds prior to execution and coordinate mark-ups with legal counsel
- Preparing and submitting CSSF filings, regulatory notifications, and compliance documentation across Luxembourg entities
- Acting as the primary interface with external Luxembourg legal counsel, the CSSF, and Luxembourg directors
- Providing Company Secretary support to the Titanbay AIFM and other group entities
- Building and maintaining the audit trail required to evidence genuine in-person Luxembourg substance to regulators
- Partnering with Titanbay's tech and tooling teams to identify, build, and scale automated workflows that improve CoSec processes across Luxembourg, Ireland, and the UK
- Coordinating with Legal, Fund Operations, and Finance to ensure corporate records accurately reflect entity and fund-level decisions
- Processing bank transactions and supporting treasury operations for Luxembourg entities
What We're Looking For
- 5+ years of Company Secretary or corporate governance experience in Luxembourg, ideally within an AIFM, fund administrator or law firm
- Proven experience with CSSF regulatory filings and a solid understanding of Luxembourg corporate law, SCSp structures, Luxembourg RAIF legislation, AIFMD and the regulatory environment for AIFMs
- Hands-on experience with AIFM and GP entity structures (SCSp, RAIFs, SICAVs, S.à r.l.) — fund admin or general corporate backgrounds won't be sufficient here
- Track record or managing board meeting processes end-to-end, including drafting minutes and ciruclar resolutions to a high standard
- A qualification in company secretarial practice (ICSA/CGI or equivalent) is advantageous but not required where experience is strong
- Luxembourg-based - on-the-ground presence and regulatory network are integral to the hire
- Exceptional organisational skills and obsessive attention to detail
- Confident operating independently with external lawyers, directors, and regulators
- Experience in private market fund governance
- A genuine interest in using technology to improve how work gets done, you're curious about AI and automation, and focused on owning and improving the CoSec function
