About the role

We're looking for a Senior Funds Lawyer to join our Legal team and lead our legal presence in Luxembourg. This is a rare opportunity to build something from the ground up: you'll establish Titanbay's first in-house legal capability in Luxembourg and own the legal work behind our Luxembourg fund platform, including our RAIFs and UCI Part II vehicles.

You'll work closely with our Group General Counsel, Compliance, Fund Operations and Client Solutions teams, and act as Titanbay's primary point of contact with the CSSF and Luxembourg external counsel. The remit is broad from day one, with real scope to shape and grow Titanbay's Luxembourg legal function as the business scales.

What you'll be responsible for

• Leading the legal aspects of formation, structuring, and ongoing operation of Titanbay's Luxembourg fund vehicles, including RAIFs, UCI Part II funds, and SCSp structures.
• Acting as Titanbay's primary legal liaison with the CSSF on fund authorisations, notifications, and ongoing regulatory matters.
• Drafting, reviewing and negotiating fund documentation, including issuing documents/PPMs, limited partnership agreements, and subscription agreements.
• Leading side letter negotiation and MFN administration for Luxembourg vehicles.
• Ensuring fund structures comply with Luxembourg and EU regulatory requirements, including AIFMD, CSSF circulars, and ESMA guidance.
• Drafting, reviewing and negotiating service provider agreements — including AIFM, administration, depositary and distribution agreements — specific to the Luxembourg market.
• Advising on cross-border distribution and marketing notifications, including AIFMD passporting and NPPR.
• Conducting legal due diligence on Luxembourg fund structures, including due diligence reports and investor comments memos.
• Advising on corporate actions and company secretarial matters for Luxembourg entities, including board support and minute-taking.
• Helping to build and shape Titanbay's Luxembourg legal function as the platform scales, working closely with external Luxembourg counsel.
• Staying current on Luxembourg and EU legal and regulatory developments and advising the business accordingly.

What we're looking for

• Luxembourg-qualified lawyer (avocat à la Cour) or common law equivalent, with 8–10 years' PQE in investment funds — private markets/alternative investment fund experience essential.
• Substantial, hands-on experience structuring and advising on Luxembourg fund vehicles: RAIFs, SCSps, SIFs and UCI Part II funds.
• Strong working knowledge of AIFMD, CSSF regulatory requirements and ESMA guidance; direct CSSF liaison experience is highly valued.
• A track record of leading complex fund formation and structuring matters with minimal supervision.
• Strong drafting and negotiation skills with commercially grounded instincts.
• Comfortable operating with real autonomy, and energised by building processes and relationships from scratch.
• Collaborative and communicative, able to work across functions, jurisdictions and time zones with a UK/Ireland-based leadership team.
• Curious about technology and open to using modern tools, including AI, to work more efficiently; you don't need to be technical, but you'll thrive here if you're excited about how technology can help build a smarter legal function.
